회생을 앞둔 기업이 국내 유일의 기술을 도난당했다고 주장, 고소장을 접수했다.
반면, 피고소인 측 이 모 대표는 “해당 기술은 내가 일본에서 카피해 온 기술”이라고 밝혔다. 과연 법원이 어느 쪽 손을 들어줄지 관심이 집중되고 있다.
전자 부품 전문기업 ㈜아이엠텍이 김 모 아이엠텍 전 부사장과 코스닥 상장법인 ㈜에프에스티(036810)의 자회사 ㈜화인세라텍을 부정경쟁 방지 및 영업비밀 보호에 관한 법률 위반ㆍ업무상 배임죄로 고소했다.
고소당한 화인세라텍의 모회사인 에프에스티는 삼성전자가 지분 7%를 투자한 상장사. 또 화인세라텍은 에프에스티의 종속회사다. 100% 지분을 갖고 있다.

고소인 측인 아이엠텍은 지난 2000년 12월, 설립했다. 세라믹 가공과 RF(무선주파수) 기술을 기반으로 전자 부품ㆍ카메라 모듈, 안테나 등을 생산하는 전문기업이다.
아이엠텍 측은 “우리가 가진 MLC(Multi Layer Ceramicㆍ반도체 프로브카드의 핵심 부품) 기판 제조ㆍ공정은 국내 유일한 기술”이라면서 “세라믹 소재의 MLC 기판은 반도체 생산 8대 공정에서 선행, 필요한 부품”이라고 설명했다.
MLC 기판이 반도체 원재료는 아니다. 하지만 반도체 검수를 하려면 필요하다. 반도체 제조의 중요한 역할을 담당하는 부품이다.

취재진이 고소장을 입수했다.
고소장에 따르면 “아이엠텍을 퇴사한 김ㅇㅇ 전 부사장이 아이엠텍이 보유한 MLC 기판 제조기술을 무단 유출했다”면서 “김ㅇㅇ 아이엠텍 전 부사장이 화인세라텍에 입사, 빼낸 기술로 화인세라텍에서 MLC 기판을 제조ㆍ판매하고 있다.”라고 밝혔다.
고소장에는 “김 전 부사장은 약 10년간 아이엠텍 세라믹 사업부에 근무했다”면서 “김 전 부사장이 필수적인 MLC기판 제조공정, 작업지침서, 세라믹 배합물 및 조건, 소성(firing)자료 등을 회사의 서버(SERVER) 컴퓨터로부터 다운로드해 보관하다가 USB에 저장하거나 본인 이메일로 전송한 것으로 추정된다.”라고 밝혔다.
또 고소장엔 이런 기술 유출 정황이 담긴 다운로드 내용도 증거자료로 첨부했다.
또한 “(고소당한) 화인세라텍은 김 전 아이엠텍 부사장을 임원급으로, 또 고소인 회사에 근무하던 이00, 이00, 정00을 고용, 고소인 회사에서 제조한 동일한 시제품을 제조, 고소인 회사의 매출처에 판매하려고 했다.”면서 “이런 배경으로 고소했다.”라고 명시했다.

해당 사건은 현재 경기 남부경찰청 산업기술 보호팀에서 수사 중인 것으로 확인됐다.
경기 남부경찰청은 지난 2월 24일, 고소당한 화인세라텍을 전격 압수 수색했다. 컴퓨터 하드디스크 등 다량의 증거물을 확보한 것으로 알려졌다.
취재진은 고소당한 화인세라텍 관계자들에게 사실 확인을 했다.
고소장에 명시, 기술 유출을 했다는 김 모 전 아이엠텍 부사장은 “수사 중인 사건”이라면서 “지금 입장을 밝히는 것은 적절하지 않다. 회사에 연락해라”라고 말을 아꼈다.
지난달 31일 오전, 화인세라텍 이 모 대표는 취재진과 46분에 걸친 전화 인터뷰를 했다.
이 대표는 “고소장은 말도 안 되는 내용”이라고 일축한 뒤 “그게 어떻게 아이엠텍 기술이냐. 그 기술은 내가 아이엠텍 사장으로 있던 시절, 일본에서 카피해 온 것”이라고 밝혔다.
이 대표는 “이엠텍이 고소장에서 주장하는 기술은 전부 오픈 기술이다. 독자적인 기술이라면 IP(지식재산ㆍintellectual property)가 있어야 할 것 아니냐? 그렇게 중요한 기술이라면 왜 IP를 안 냈냐? 그 회사(아이엠텍)는 내가 만들어서 끌고 왔기에 너무나 잘 안다. 그 부품을 한국에선 도저히 만들 수 없어서 내가 수소문, 일본 가서 배워온 거다. 그들이 주장하는 기술은 일본 특허 기술이다. 우리 것이 아니다. 그리고 현재 그런 정도의 기술은 인터넷 검색만 해도 다 나와 있다.”라고 말했다.
또 이 대표는 “우리를 고소한 현재 아이엠텍의 대표이사는 아이엠텍이 생길 당시 존재도 없던 인물”이라면서 “내가 2016년까지 아이엠텍 사장을 했었는데 그 후 아이엠텍은 자본시장 사냥꾼들에게 팔렸다.”라고 밝혔다.
그는 “그 후 아이엠텍은 4, 5년 동안 대주주가 몇 번 바뀌었는지 모를 정도고 주인이 누군지도 모른다.”면서 “횡령 배임으로 자기들끼리 고소ㆍ재판하고 직원들 월급도 안 주고, 결국 아이엠텍은 감사 의견 거절로 상장폐지 됐다. 그렇게 망가진 회사”라고 덧붙였다.
또한 이 대표는 “이래서 삼성전자, 하이닉스 등 큰 회사들이 MLC 기판 생산에 차질 생기면 큰일 난다.”면서 “우리 고객사들이 내게 ‘이 사장이 옛날에 생산해 봤으니까 이거 빨리 부품 국산화 안 해주면 우린 다시 부품 사러 일본으로 간다. 그러면 결국 20년 전으로 돌아간다.’라고 해서 할 수 없이 화인세라텍이란 회사를 만들었다.”라고 설명했다.
이어서 그는 “심지어 우리 고객사들이 탄원서까지 써 줬다.”라면서 “‘그거(아이엠텍) 망한 회사고 직원들 월급 안 주고 그래서 직원들 다 나갔다. 그래서 도저히 기술적으로 삼성전자나 하이닉스가 요구하는 품질을 못 맞추니까 기술이 개발(develop)된 화인세라텍이란 회사가 새로 생겨서 우리가 지금 거래하고 있는데, 이거 만약에 화인세라텍의 제품생산에 문제 생기면 삼성전자, 하이닉스는 반도체 테스트에 큰 문제가 생긴다.’라고 진정서ㆍ탄원서 써서 보내줬다. 우리가 경찰에 제출 할 것.”이라고 역설(力說)했다.
화인세라텍 이 대표는 “이번 고소는 아이엠텍이 밸류를 올리기 위해서 시비 건 것으로밖에 볼 수 없다.”라면서 “이 건은 우리가 무고로 역공해서 반드시 대가를 치르게 할 것”이라고 힘줬다.
또한 “압수수색이 있었던 것은 사실이다. 그러나 압수수색은 경찰 수사의 프로세스”라면서 “MLC 기판 생산 사업의 키워드는 대규모 투자를 통해 삼성전자나 하이닉스가 개발하는 것을 쫓아가야 하고 지속해서 투자가 이어져야 되기 때문에 이렇게 기업 사냥꾼들이 붙어서는 될 일이 아니다.”라고 강조했다.
끝으로 그는 “내가 아이엠텍 재임 시절, 혹시 몰라서 특허를 내려고 했다. 그런데 선임 기술이 일본에 40년, 50년 전부터 있었다.”면서 “그런데도 특허를 냈을 경우, 이 기술을 필요로 하는 사람에게 자료를 통째로 그냥 쉽게 토스하는 꼴을 당 할 수 있다고 판단했다. 왜냐하면 이걸로 우리가 권리 보호를 받을 수가 없었다. 이미 선행 기술이 있었기 때문이다. 일본이 이미 50년 전부터 사용한 기술을 우리가 IP 해봐야 의미가 없었다. 그래서 IP 화하는 걸 포기했다.”라고 반박했다.
한편 취재진은 화인 세라텍의 인터뷰 내용에 대해 아이엠텍 측에 사실 확인을 했다. 인터뷰는 카카오톡 문자 인터뷰로 진행했다.
이에 대해 아이엠텍 측은 <화인세라텍 측 주장에 대한 아이엠텍 반박문>을 보내왔다. 전문 공개를 통해 아이엠텍 입장을 밝힌다.

이번 사건의 연장선상, 아이엠텍이 김 전 부사장의 영업비밀 침해 및 비밀유지 의무 위반으로 인한 손해배상 청구권 부동산 3억 원 가압류를 법원이 승인했다.
또 화인세라텍 등 4개사에 대해 영업비밀 침해로 인한 손해배상 채권 중 3억 원에 대한 가압류 건을 법원이 승인, 집행됐다.
아이엠텍은 2000년 12월 13일, 법인을 설립했다.
당시 Advanced Probe Card의 경우 MLC(Multi-Layer Ceramic, 다층세라믹 기판)를 제외한 부품들은 대부분 국산화가 되어 있었다. 그러나 MLC 기판은 전량 수입에 의존하고 있었다.
아이엠텍은 4년에 걸친 개발 과정을 통해 프로브 카드(Probe Card) 업체에서 제품의 품질을 검증받았다. 아이엠텍은 2007년 3월부터 설비 개조 및 투자를 진행해 사업화를 진행했다.
아이엠텍의 사업성을 보고 2008년 탑엔지니어링이 투자했다. 그런 계기로 탑엔지니어링의 이 모 씨가 아이엠텍의 공동대표로 임명됐다.
2009년 탑엔지니어링의 파주 부지에 현재 아이엠텍 파주공장을 설립했다. 이때부터 본격적인 기술 개발과 생산을 진행했다.
기술 개발을 하는 중 개발돼야 할 중요한 기술들이 상당히 있음을 인지했다.
화인세라텍의 이 대표는 “당시 국내 프로브카드업체들과 거래하고 있던 교세라와 NTK 의 공정과 기술들을 파악하기 위해 일본에 엔지니어를 파견했다”라고 주장하고 있다.
하지만 사실은 파견한 적이 없다. 일본 업체와 거래하던 국내업체를 통해 단편적인 정보를 습득하는 정도였다.

일본 업체들은 기술 이전이나 유출에 상당히 민감하고 엄격했다.
당시 아이엠텍은 6.5인치 양품 기판 1장을 만드는데 시료 100장을 투입할 정도로 수율이 낮은 상황이었다.
특히, ‘수축률 오차 제어 소성 기술’은 제품의 크기가 클수록 수축률에 의한 최종 제품의 길이 오차가 누적돼 나타났다. 이처럼 MLC 제품에서는 해당 제어가 매우 중요한 기술적 내용이다.
한 장의 MLC 기판을 생산하기 위해서는 상당히 복잡하고 세밀한 공정이 요구됐다. 또 공정마다 전문가가 필요했다.
때문에 레시피(Recipe) 도용은 매우 심각한 상황이다.
동일 물성 제품 개발은 사실상 실현 불가능하다. 동일한 원재료, 동일한 함량 비, 동일한 방식으로 제작해야만 가능하다.
그런데 화인세라텍의 MLC 기판은 아이엠텍의 제품과 구별이 어려울 정도로 동일한 제품이었다.
반면 교세라, NTK과 아이엠텍의 MLC 기판의 제품 차이는 현저했다. 확실히 구별이 가능했다.
이 대표가 아이엠텍을 ㈜우리조명 사주에 매도했고 2016년 아이엠텍은 상장 되었다. 상장사를 거치고 현재에 이르기까지 아이엠텍 회사에서 MLC 제품의 핵심기술인 HTCC(High Temperature Co-fired Ceramic) 생산 기술은 다년간의 기술적 노하우로 아이엠텍사의 주력사업으로 성장하게 됐다.
현재 화인세라텍 이 대표가 “아이엠텍의 대표이사로 재직할 당시 자신이 현재 아이엠텍이 보유한 기술을 내가 만든 기술이고 자신이 해외에서 가져온 기술이라고 주장하는 것”은 삼성전자 직원이 회사에서 일하면서 얻게 되고 알게 된 기술 관련된 지식을 자신의 것이라고 주장하는 것과 다를 바 없으리라 판단된다.
이는 모든 반도체 회사에서는 금기시 되는 불법적 사고가 아닐 수 없다.
화인세라텍은 현재 아이엠텍사의 주력사업인 HTCC 제품을 생산해서 아이엠텍사의 주 거래처에 생산 판매하고 있다.
주 거래처의 다수의 관계자는 화인세라텍과 아이엠텍의 생산품이 “동일 제품이라 해도 모를 것 같다.”라고 말했다.
해당 기술은 자본만 가지고는 생산해낼 수 없다. 십수 년의 시간이 걸린다. 아이엠텍만이 가진 기술 전반을 빼내어 그것도 채 1년도 안 걸려 제품을 생산해내는 것은 아이엠텍에서 대표이사로 재직한 현재 화인세라텍 이 대표, 김 모 전 부사장이 현재 아이엠텍의 핵심인력으로 구성된 기술진들을 빼가지 않고서는 불가능한 일이라 할 수 있다.
경쟁사인 코스닥 샘씨엔에스(252990)도 14년간 400억 원을 투자할 정도로 반도체 소재사업은 지속적인 기술 개발과 업력이 없으면 사업을 할 수 없다. 그만큼 진입 장벽이 높다. 이런 사실만으로도 이 대표의 주장은 사실을 크게 왜곡했다.
와이아이케이(YiKㆍ반도체 장비업체ㆍ코스닥 SEMCNS의 모기업)는 세라믹 사업에 진출하기 위해 삼성전기의 세라믹사업부를 500억 원에서 1,000억 원(추정, 출처:전자신문 삼성전기, 반도체 테스트 부품 사업 중소업체에 매각)에 인수, 사업에 진출했다.
또 와이아이케이는 많은 연구진을 채용했다. 반도체 집적화가 고도화되고 미세 정밀해지는 회로설계에 대응해 공정개발에 전력하는 것으로 알려져 있다. 하지만 그렇게 노력을 했음에도 그 결실이 언제인지 모르는 게 현주소다.
또한 핵심 인재들의 이탈 사유로 거론되는 급여 미지급 건은, 급여 지급 일이 매월 10일에서 매월 말로 변경하며 빚어졌던 내용.
2022년 4월 현재까지 급여는 매월 말 정상 지급하고 있다. 법정관리 상태에서도 단 한 번도 지연 및 미지급 사례가 없었다.
애초 아이에텍은 특허도 다수 보유하고 있었다. 그러나, 현재 화인세라텍의 이 대표와 김 전 부사장이 재직 당시 자신들이 특허를 더는 유지할 필요가 없다는 의견을 냈다. 상당수 기술특허를 해지 또는 포기했다.
그런 사실만으로도 기술 유출은 2016년 이 대표가 퇴임 후부터 장기간에 걸쳐서 치밀하게 계획을 세운 뒤 이루어졌을 것으로 추정된다.
특허 담당관들조차도 특허 해지사유를 자신들도 납득할 수 없는 이유라고 말했다. 이 모든 일이 어떤 사유로, 어떤 이득을, 누군가에게 주기 위해 계획적으로 이뤄진 것이 아닌지 의심하지 않을 수 없는 대목이다.
위와 같은 정황을 종합해 볼 때 상당히 오랫동안 영업 및 핵심 기술 탈취를 준비한 것으로 보인다.
수사당국은 화인세라텍 및 사건 관련자에 대한 압수수색을 단행했다. 현재 압수물 분석 작업 등 수사에 박차를 가하고 있다.

한편 경찰청은 지난해 4~9월 6개월간 영업비밀 침해행위 등을 포함한 산업기술 유출범죄 기획 수사를 진행했다. 짧은 기간 수사함에도 불구하고 90건을 적발, 223명을 검거했다.
이 중 93.3%는 중소기업이 피해자였다. 기술 유출에 뚜렷한 취약점을 보이는 것을 명시했다.
특히 대기업이 중소기업의 기술을 탈취해 이익을 보는 경우가 적지 않았다. 중소기업에 하도급을 맡기는 대기업은 중소기업의 기술을 요구했다. 영업비밀 요건에 해당하지 않는 기술을 탈취, 피해를 주는 등의 행위를 일삼고 있다는 것.
영업 비밀을 취득ㆍ사용 또는 제3자에게 누설한 자는 5년 이하의 징역 또는 5천만 원 이하의 벌금에 처한다. 만약 이를 해외로 반출시킬 경우 10년 이하의 징역 또는 1억 원 이하의 벌금형에 처한다.
정부는 뒤늦게 지난해 말 반도체ㆍ디스플레이ㆍ배터리 등 세계적인 경쟁력을 갖춘 국내 주요 기술들을 국가 핵심기술로 추가 지정해야 한다는 결정을 내렸다. 현재 관련 작업을 진행 중이다.
하지만 올해 상반기 안으로 추가 지정될 국가 핵심기술에는 반도체 분야가 대거 빠진 것으로 확인됐다.
오는 8월 ‘국가 첨단전략산업 경쟁력 강화 및 보호에 관한 특별조치법’ 시행을 앞두고 있다. 법안시행 이후에야 반도체 분야 국가 핵심기술 추가가 가능할 전망이다.
반도체 특별법이라고도 불리는 이 법안은 하위법령 제정안이 5월2일까지 입법 예고 된 상태. 이제 막 의견수렴에 들어간 상황이다.
반면 글로벌은 기술유출 시 이미 중징계를 하고 있다.
일본은 최근 첨단 기술을 유출하는 연구자를 2년 이하의 징역형에 처하는 내용의 경제안정 보장추진법 제정에 속도를 내고 있다. 국가 간 기술탈취가 심각한 상황에서 기술과 정보의 유출을 막기 위해 정부가 직접 개입하겠다는 것이다.
반도체 파운드리 세계 1위 기업이 있는 대만도 지난 2월 17일, 국가안전법 개정안을 통과시켰다. 국가 핵심 관건 기술 ‘경제 간첩죄’를 신설했다. 처벌 수위를 강화했다.
반도체 산업을 집중적으로 육성하고 있는 중국 등에서 기술 유출, 인재쟁탈이 잇따르자 내린 조치다. 대만에서는 국가 핵심 관건 기술 유출 시 5~12년 징역형에 처한다. 벌금은 최대 1억 대만 달러(약 43억 원)가 부과된다.1
대만은 이와 함께 자국 첨단기술 인력이 중국에서 취업할 때 정부 심사를 받도록 하는 등 절차를 까다롭게 했다. 이처럼 국가 핵심기술을 철저히 관리하고 있다.

IMTECH, the accuser, was established in December 2000. It is a company that specializes in producing electronic parts, camera modules, and antennas based on ceramic processing and RF (radio frequency) technology.
"The manufacturing and process of MLC (core parts of semiconductor probe cards) substrates that we have is the only technology in Korea," IMTECH said. "The MLC substrates made of ceramic materials are the leading and necessary parts in the eight major processes of semiconductor production."

CEO Lee sold IMTec to Woori Lighting Co., Ltd., and IMTec was listed in 2016. Fine Ceratec is currently producing and selling HTCC products, IMTec's flagship business, to IMTec's main customers.
A number of officials from their main customers said that they would not know even if the products of Fine Ceratec and IMTec were the same.
The technology takes decades of time that cannot be produced with capital alone. It can be said that it is impossible to take out the entire technology of IMTECH and produce products in less than a year without taking out the current CEO of Fine Ceratech and former Vice President Kim, who are currently composed of key employees of IMTECH.
The semiconductor material business cannot be carried out without continuous technology development and business experience, with its rival KOSDAQ Sam CNS (252990) also investing 40 billion won over 14 years.
